Terms of Service

1. Acceptance of Terms
By accessing or using the QueueCore service ("Service"), website, APIs, SDKs, or any associated documentation provided by QueueCore, Inc. ("QueueCore," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, you may not access or use the Service.
2. Service Description
QueueCore provides a managed publish/subscribe (pub/sub) message brokering platform. The Service includes, but is not limited to:
- Topic creation, configuration, and management
- Message publishing and subscription with ordered, at-least-once delivery
- Dead-letter queue (DLQ) management and message replay
- Consumer group and offset management
- Multi-region message routing and replication
- REST and streaming APIs for message operations
- Client SDKs for popular programming languages
- A web-based dashboard for monitoring and configuration
The specific features and capabilities available to you depend on your subscription plan.
3. Account Registration and Beta Access
To use the Service, you must register for an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials, including API keys, and for all activity that occurs under your account.
QueueCore is currently in a limited beta program. Access to the beta is granted at QueueCore's sole discretion and may be limited by invitation, waitlist position, or other criteria. We reserve the right to revoke beta access at any time, for any reason, with or without notice. Beta features may be incomplete, contain bugs, or be removed without notice. Beta access does not guarantee future access to the production Service or any specific pricing terms.
4. Acceptable Use Policy
You agree to use the Service in compliance with all applicable laws and regulations. The following activities are prohibited:
- Transmitting unlawful, harmful, threatening, abusive, defamatory, or otherwise objectionable content through the Service
- Using the Service to distribute malware, phishing content, or to participate in any form of cyberattack
- Abusing delivery guarantees by intentionally creating conditions that cause excessive retries, redeliveries, or system resource consumption
- Intentionally flooding dead-letter queues as a storage mechanism or to circumvent message retention limits
- Exceeding or attempting to circumvent published rate limits, quotas, or resource allocations for your plan tier
- Reverse engineering, decompiling, disassembling, or otherwise attempting to derive the source code of the Service or its proprietary components
- Reselling, sublicensing, or providing the Service to third parties without written authorization from QueueCore
- Interfering with or disrupting the integrity or performance of the Service or its infrastructure
Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account.
5. Service Level and Availability
During the beta period, QueueCore is provided on an "as-is" basis without any formal Service Level Agreement (SLA). We will make commercially reasonable efforts to maintain availability, but do not guarantee any specific uptime percentage during beta.
For production subscription tiers, the following uptime targets apply:
- Pro plan: 99.97% monthly uptime target
- Enterprise plan: 99.99% monthly uptime target with custom SLA terms
Uptime is calculated based on the availability of the API Gateway and Message Broker services. Scheduled maintenance windows, which will be communicated at least 48 hours in advance, are excluded from uptime calculations. Service credits for SLA violations will be detailed in your subscription agreement.
6. Payment and Billing
QueueCore uses per-message pricing. Fees are calculated based on the number of messages published and delivered during each billing cycle. Billing is monthly, with invoices issued at the beginning of each month for the prior month's usage.
Each plan includes a base message allocation. Messages exceeding your plan's included allocation will be billed at a rate of $0.40 per million messages. Detailed usage breakdowns are available in the dashboard.
We will provide at least 30 days' written notice before any price changes take effect. Price changes do not apply retroactively. Payment is due within 30 days of invoice date. Late payments may result in service suspension after a 14-day grace period and written notice.
7. Data and Privacy
Your use of the Service is subject to our Privacy Policy, which describes how we collect, use, and protect your information. By using the Service, you acknowledge that you have read and understood our Privacy Policy.
You are responsible for ensuring that your use of the Service complies with applicable data protection laws, including obtaining any necessary consents for the data you transmit through QueueCore. If you process personal data of EU residents through the Service, a Data Processing Agreement (DPA) is available upon request.
8. Message Data Ownership
You retain all rights to data transmitted through QueueCore. We claim no ownership of your message content. You grant QueueCore a limited, non-exclusive license to process, store, and transmit your message data solely for the purpose of providing the Service. This license terminates when your message data is deleted in accordance with your retention settings or upon account termination.
9. Intellectual Property
QueueCore and its licensors own all right, title, and interest in and to the Service, including but not limited to the platform software, APIs, SDKs, client libraries, documentation, website, dashboard, trademarks, and all related intellectual property. These Terms do not grant you any rights to use QueueCore's trademarks, logos, or brand features without prior written consent.
SDKs and client libraries provided by QueueCore are licensed, not sold, under the terms specified in their respective license files (typically MIT or Apache 2.0). Your use of open-source components is subject to their individual license terms.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL QUEUECORE, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, REVENUE, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY.
QUEUECORE'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT OF FEES PAID BY YOU TO QUEUECORE DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. IF YOU HAVE NOT PAID ANY FEES, QUEUECORE'S LIABILITY SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100).
These limitations apply regardless of whether QueueCore has been advised of the possibility of such damages. Some jurisdictions do not allow limitations on implied warranties or liability for incidental or consequential damages, so the above limitations may not apply to you in full.
11. Indemnification
You agree to indemnify, defend, and hold harmless QueueCore and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) your violation of any rights of a third party; or (e) the content of data transmitted through the Service by you or your authorized users.
12. Termination
Either party may terminate these Terms with 30 days' written notice to the other party. QueueCore may terminate or suspend your access to the Service immediately, without prior notice, if you breach these Terms, engage in prohibited activities, or if continued provision of the Service to you would violate applicable law.
Upon termination, your right to access and use the Service ceases immediately. QueueCore will retain your message data for 30 days following termination to allow for data export, after which all data will be permanently deleted. Sections of these Terms that by their nature should survive termination (including but not limited to Limitation of Liability, Indemnification, and Governing Law) shall continue to apply.
13. Changes to Terms
We reserve the right to modify these Terms at any time. For material changes, we will provide at least 30 days' advance notice via email to the address associated with your account and by posting the updated Terms on our website. Non-material changes (such as typographical corrections or clarifications) may be made without notice.
Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you must discontinue use of the Service before the changes take effect.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising out of or related to these Terms shall be brought exclusively in the state or federal courts located in Wilmington, Delaware, and you consent to the personal jurisdiction of such courts.
